MemberBot is a service operated by BNN LTD, a limited company registered in the Republic of Kenya ("BNN", "we", "us", "our"). These Terms are a binding agreement between you (the "Customer" or "you") and BNN LTD, and govern your use of MemberBot (the "Service") — software that lets you operate a subscription/membership bot for your own Telegram channels and groups. By creating a workspace or using the Service you agree to these Terms and to our Acceptable Use Policy and Privacy Policy.
MemberBot provides tools to sell and manage access to your own Telegram communities: subscription plans, access codes, payment collection, member management, and a dashboard. You connect your own Telegram bot and your own payment provider(s). MemberBot is a software provider — you remain the operator and merchant for your own members.
MemberBot is offered on a subscription basis (Entry, Starter, Growth, Scale, Pro, or Enterprise). Plans are billed monthly or annually in advance. Pricing is shown on our pricing page. Your plan is metered by the number of active members in your workspace; if you exceed your plan's limit you'll be asked to upgrade (see our fair-use handling in-app).
How we bill you. We bill subscriptions on more than one rail; the one that applies to you is shown on your Billing page. Where you pay by card, our order process is conducted by our online reseller Paddle.com, which is the Merchant of Record for those orders — Paddle handles billing, payment, invoicing and related customer enquiries, and Paddle's Buyer Terms also apply to your purchase. Where you pay by PayPal, cryptocurrency or M-Pesa, you contract and pay us directly and Paddle is not involved in that transaction.

New workspaces may include a free trial. Unless you cancel before the trial ends, your subscription converts to a paid plan and your payment method is charged. You can cancel anytime from your billing settings.
You can cancel at any time; your subscription remains active until the end of the current billing period. Refunds are governed by our Refund Policy.
Payments made by your members flow through your connected payment provider (e.g. Stripe, M-Pesa, Telegram Stars). MemberBot does not take a percentage of those payments and is not the merchant for your members' purchases. You are solely responsible for taxes and obligations arising from your sales to your members.
We work to keep the Service available but do not guarantee uninterrupted operation except where an SLA is expressly agreed. We may modify or discontinue features with reasonable notice.
You may close your workspace at any time. We may suspend or terminate a workspace — immediately and without refund — where we reasonably believe you have violated these Terms or the Acceptable Use Policy, where required by law, by a court, or by our payment partners, or to protect the Service, our users, or the public. We may investigate suspected violations and may use automated and manual review of the information and metadata in your workspace (such as workspace, plan, and storefront names) to detect abuse.
We respond to copyright complaints under the DMCA and equivalent laws, operate a notice-and-takedown process, and terminate repeat infringers. To file a notice or report abuse, see our Copyright & Abuse Reporting page.
You must not use the Service for any unlawful purpose. We reserve the right to preserve information, to report suspected illegal activity — including child sexual abuse material, for which we have zero tolerance — to the relevant authorities, and to cooperate with valid law-enforcement requests and legal process.
You agree to indemnify, defend, and hold harmless MemberBot and its officers, employees, and partners from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to the content you sell or distribute, your use of the Service, your dealings with your members, or your breach of these Terms or the Acceptable Use Policy or any applicable law.
The Service is provided "as is". To the maximum extent permitted by law, MemberBot is not liable for indirect or consequential losses, and our total liability is limited to the fees you paid us in the 12 months preceding the claim.
Our handling of personal data is described in our Privacy Policy. Where you use the Service to process personal data about your own members, we act as your processor and that processing is governed by our Data Processing Agreement, which forms part of these Terms.
These Terms are governed by the laws of the Republic of Kenya, without regard to conflict-of-laws rules. You and BNN LTD submit to the exclusive jurisdiction of the courts of Nairobi, Kenya for any dispute arising out of or relating to these Terms or the Service, subject to any mandatory consumer-protection rights you may have in your country of residence. If any provision is found unenforceable, the remaining provisions continue in effect.
We may update these Terms from time to time. Material changes will be posted on this page with a new "Last updated" date and, where appropriate, notified to you. Continued use of the Service after changes take effect constitutes acceptance.
